Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Customer”) and MRRX (“we,” “us,” “our,” or “Company”) governing your access to and use of the MRRX platform, including our website, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Services

MRRX provides a subscription retention platform designed to help businesses reduce customer churn through intelligent cancellation flows. Our Services include:

Hosted cancellation pages that integrate with your Stripe account
Customizable retention offers including subscription pauses, discounts, and plan changes
Customer feedback collection and analytics
APIs for programmatic integration with your existing systems
Dashboard for monitoring and managing cancellation flows

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

Account Registration

Account Creation

To use the Services, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access
Keeping your account information up to date

Account Requirements

You must be at least 18 years old and have the legal capacity to enter into binding contracts. Business accounts must be registered by authorized representatives.

Account Security

We implement industry-standard security measures, but you are responsible for maintaining the security of your account credentials. We recommend using strong, unique passwords and enabling two-factor authentication where available.

Subscription and Billing

Pricing Plans

MRRX offers tiered subscription plans with different features and usage limits. Current pricing and plan details are available on our website at mrrx.app/pricing.

Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by law or as expressly stated in these Terms.

Payment Methods

We accept payment via credit card, debit card, and other methods as indicated during checkout. By providing payment information, you authorize us to charge the applicable fees to your payment method.

Usage Limits

Each plan includes a specified number of cancellation sessions per month. If you exceed your plan's limits, you may be required to upgrade to a higher tier or pay overage fees as specified in your plan details.

Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

Free Trial

We may offer a free trial period for new customers. At the end of the trial, your account will be automatically converted to a paid subscription unless you cancel before the trial expires.

Acceptable Use

Permitted Use

You may use the Services only for lawful business purposes in accordance with these Terms. You agree to use the Services in a manner consistent with all applicable laws and regulations.

Prohibited Activities

You may not:

Use the Services for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the integrity or performance of the Services
Use the Services to transmit malware, viruses, or other harmful code
Reverse engineer, decompile, or disassemble any part of the Services
Use automated systems or software to extract data from the Services without permission
Resell, sublicense, or redistribute the Services without authorization
Use deceptive practices or dark patterns in your cancellation flows

API Usage

If you access the Services via our API, you must comply with our API documentation and rate limits. We reserve the right to throttle or suspend API access for excessive usage or abuse.

Stripe Integration

Stripe Connect

The Services integrate with Stripe through Stripe Connect. By connecting your Stripe account, you authorize us to:

Access subscription and customer data necessary to provide the Services
Modify subscriptions on your behalf (pause, apply discounts, cancel)
Register webhook endpoints to receive subscription events

Stripe Terms

Your use of Stripe is subject to Stripe's Terms of Service and Privacy Policy. We are not responsible for Stripe's services or any issues arising from your use of Stripe.

Data Accuracy

We rely on the accuracy of data from your Stripe account. You are responsible for ensuring your Stripe account is properly configured and that subscription data is accurate.

Data Processing

Your Data

You retain all rights to your data. By using our Services, you grant us a limited license to use your data solely to provide and improve the Services.

Customer Data

When your customers interact with our hosted cancellation pages, we process their data on your behalf. You are responsible for:

Having appropriate privacy policies and terms of service for your customers
Obtaining any necessary consents for data processing
Complying with applicable data protection laws

Data Processing Agreement

For customers who require a Data Processing Agreement (DPA) for GDPR compliance, please contact us at support@mrrx.app.

Data Retention

We retain your data for as long as your account is active or as needed to provide the Services. Upon account termination, we will delete or anonymize your data within 90 days, except as required by law.

Intellectual Property

Our Rights

The Services, including all content, features, and functionality, are owned by MRRX and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or branding without prior written consent.

Your Rights

You retain ownership of any content, data, or materials you provide through the Services. You grant us a limited, non-exclusive license to use such materials solely to provide the Services.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without restriction or compensation.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties except as necessary to perform obligations under these Terms.

Confidential information does not include information that:

Is or becomes publicly available through no fault of the receiving party
Was rightfully in the receiving party's possession before disclosure
Is independently developed by the receiving party
Is required to be disclosed by law or court order

Warranties and Disclaimers

Service Warranty

We warrant that the Services will perform substantially in accordance with our documentation. If the Services do not conform to this warranty, your exclusive remedy is for us to use commercially reasonable efforts to correct the non-conformity.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

No Guarantee of Results

While we strive to help you reduce churn, we do not guarantee any specific results from using the Services. Retention rates depend on many factors outside our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRRX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO MRRX DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless MRRX and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Any content or data you provide through the Services
Your interactions with your customers

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account settings in your dashboard. Termination takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately if you:

Violate these Terms
Engage in fraudulent or illegal activity
Fail to pay applicable fees
Pose a security risk to the Services or other users

We may also terminate your account with 30 days' notice for any reason.

Effect of Termination

Upon termination:

Your access to the Services will be revoked
Your data will be deleted in accordance with our data retention policy
You remain responsible for any fees incurred before termination
Provisions that by their nature should survive termination will remain in effect

Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or through the Services at least 30 days before taking effect.

Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services before the changes take effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: You agree that any disputes will be resolved on an individual basis and not as part of any class or representative action.
